Terms and Conditions Agreement

By accessing or using https://legalfoxindia.com/ ("Website") and/or any related services, applications, or communication channels (collectively, the "Platform" or "Services"), you ("User", "you") hereby irrevocably and unconditionally agree to be bound by the Terms and Conditions ("Terms", "Agreement"). If you do not agree to these Terms, you must immediately cease all use of the Platform.

You warrant that you are at least 18 years of age and are legally competent to enter into this contract under the Indian Contract Act, 1872.

I. AGREEMENT AND DEFINITIONS

This document constitutes the entire legally binding agreement between you and Legal Fox India. Our services are strictly limited to administrative backend support, documentation compilation, and technology-driven facilitation.

II. PLATFORM STATUS & INTERMEDIARY ROLE

Legal Fox India is incorporated under the laws of India and operates as a Technology Intermediary under the Information Technology Act, 2000, and its associated Rules. Our liability is strictly governed by the "safe harbor" provisions applicable to intermediaries.

(a) Strict Liability Limitation

The User explicitly agrees that Legal Fox India is a passive conduit for the transmission of information between the User and the Advisor. We exercise no editorial or content control over the professional advice or documents exchanged between the User and the Advisor. Our role is strictly administrative and technological.

(b) Advisor Independence

Advisors are not employees, agents, partners, or subsidiaries of Legal Fox India. They are independent professionals. Legal Fox India is not responsible for any act, omission, negligence, fraud, or professional misconduct of any Advisor.

III. PROFESSIONAL ENGAGEMENT DISCLAIMER

LEGAL FOX INDIA EXPRESSLY DISCLAIMS ALL LIABILITY FOR ADVISOR SERVICES. The User acknowledges and accepts that:

• No Outcome Guarantee: We offer no guarantee, warranty, or assurance regarding the success, processing time, or favorable outcome of any regulatory filing, court proceeding, or advisory matter.
• Due Diligence: It is also the User's RESPONSIBILITY to verify the credentials, licensing, competence, and terms of service of any Advisor engaged through the Platform.
• Separate Contract: Any contract, fee structure, or scope of work with an Advisor is separate and distinct from this Agreement, and Legal Fox India is not a party to such contract.

IV. USER WARRANTIES & COVENANTS

The User hereby unconditionally warrants and covenants that:

• Accuracy of Information: All data, documents, and disclosures provided to Legal Fox India or an Advisor are 100% true, accurate, current, complete, and not misleading in any material respect.
• Lawful Purpose: Use of the Platform is strictly for lawful purposes, and the User shall not use the Services to facilitate or participate in any illegal activity (e.g., money laundering, tax evasion, fraud).
• Full Disclosure: The User has made full and honest disclosure of all facts relevant to their case or inquiry to the Advisor.

V. PROHIBITED CONDUCT & CONTENT

The User is explicitly prohibited from using the Platform to host, transmit, or promote any content that is:

• Illegal or Fraudulent: Including content that violates Indian laws, or attempts to circumvent legal or financial obligations.
• Harmful or Abusive: Content that constitutes harassment, libel, defamation, obscenity, or infringement of privacy.
• Security Violation: Any attempt to interfere with the Platform's security, reverse-engineer the code, or use automated scraping tools without written consent.

Violation of this Section shall result in immediate termination of the User's account and reporting to appropriate authorities.

VI. DATA RESPONSIBILITY & CONFIDENTIALITY

We implement security protocols in line with industry standards. However, the User acknowledges and accepts the inherent risks of data transmission over the internet. Legal Fox India provides no warranty against the breach or compromise of data due to factors including, but not limited to, cyberattacks, governmental interception, or third-party acts.

User Responsibility: The User agrees to bear all risk associated with the disclosure of sensitive personal data or financial information on the Platform.

VII. COMPREHENSIVE INDEMNIFICATION

THE USER SHALL INDEMNIFY, DEFEND, AND HOLD HARMLESS LEGAL FOX INDIA (including its officers, directors, shareholders, employees, and agents) from and against any and all claims, actions, liabilities, losses, damages, demands, suits, and expenses (including, but not limited to, reasonable attorney's fees) arising out of or related to any claim that:

• The User's information was false, misleading, or incomplete.
• The User breached any warranty or covenant in this Agreement.
• Any negligence or error on the part of the User or the Advisor caused damage to a third party.
• A government body levies a penalty due to the User's actions or provided data.
• Any dispute with an Advisor or any third party.

This indemnification is perpetual and survives the termination of this Agreement.

VIII. LICENSE TO USER CONTENT

The User grants Legal Fox India a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, transferable, and fully sublicensable license to use, reproduce, modify, publish, adapt, and distribute all content and documents provided by the User, solely for the purpose of (a) providing and improving the Services, and (b) complying with government, legal, or regulatory requests.

IX. INTELLECTUAL PROPERTY & OWNERSHIP

All intellectual property rights related to the Platform (including software, design, logos, and trademarks) are the exclusive property of Legal Fox India. Use of the Platform does not grant the User any ownership rights, and the User is prohibited from copying, distributing, or creating derivative works of the Platform's materials.

X. THIRD-PARTY LINKS & LIABILITY

Legal Fox India is not liable for the content, security, or business practices of any third-party websites linked from the Platform, including Advisor or government sites. The User assumes all risk and responsibility for transactions conducted with any third party.

XI. ACCURACY & SERVICE AVAILABILITY

Legal Fox India makes no warranty that the Platform will be free from interruptions, delays, errors, or defects. The Platform is provided "AS IS" and may be modified, suspended, or discontinued at any time without prior notice or liability to the User.

XII. FORCE MAJEURE

Legal Fox India shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including, but not limited to, Acts of God, war, terrorism, government regulations (including changes in government portal operations), national strikes, civil unrest, fires, floods, earthquakes, epidemics, pandemics, or any failure of a government system, internet disruption, or third-party service provider (including Advisors).

XIII. TERMINATION & ENFORCEMENT

Legal Fox India reserves the absolute right to immediately terminate or suspend a User's access to the Services, without liability, if the User engages in any prohibited conduct, breaches this Agreement, or if required by law enforcement or regulatory authorities.

XIV. ABSOLUTE LIMITATION OF LIABILITY

(a) Consequential Damages Waiver

IN NO EVENT SHALL LEGAL FOX INDIA BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (including, but not limited to, loss of revenue, profits, data, or business interruption), regardless of the form of action, whether in contract, tort (including negligence), or otherwise, even if Legal Fox India has been advised of the possibility of such damages.

(b) Limitation of Liability

Not with standing anything to the contrary contained herein, the total, aggregate, and cumulative liability of Legal Fox India, its directors, officers, employees, agents, representatives, affiliates, and assigns (collectively, "Legal Fox India"), arising out of or in any manner relating to this Agreement, the services rendered, or the use of the Platform - whether such liability is based in contract, tort, negligence, strict liability, warranty, statute, or any other legal or equitable theory - shall not, in any event, exceed an amount equal to the total platform/service fees (specifically excluding all government fees, statutory payments, taxes, and any Advisor/Lawyer/CA/CS professional charges) actually paid by the User to Legal Fox India during the period of six (6) months immediately preceding the date on which the cause of action first arose.

XV. GOVERNING LAW & JURISDICTION

This Agreement is governed solely by the laws of India. The parties agree that any dispute, controversy, or claim arising out of or relating to this Agreement, including claims of tort, shall be finally and exclusively settled by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996.

• Seat and Venue of Arbitration: Dehradun, Uttarakhand, India.
• Exclusive Jurisdiction: Subject to the mandatory arbitration clause, the courts located in Dehradun, India, shall have the exclusive jurisdiction to entertain any suit or proceeding arising from this Agreement.

XVI. STRICT CANCELLATION & REFUND POLICY

All fees paid to Legal Fox India are for platform services and coordination and are non-refundable except as expressly stated herein. Refunds are issued solely at the discretion of Legal Fox India in the following narrow circumstances:

• Cancellation requested within 4 hours of payment and before any document processing or Advisor assignment has commenced.
• A documented failure by Legal Fox India to provide the technical/administrative service within 45 days (excluding delays by government or Advisors).

EXCLUSIONS: Government fees, statutory charges, professional Advisor fees, and taxes are strictly non-refundable. Refunds are not granted for any reason related to delays, rejections, or dissatisfaction with the outcome or service provided by an independent Advisor or government authority.

By making payment on the Platform, the User confirms that he/she has clearly understood the above fee separation and shall not later claim that the Platform Fee was the complete legal service fee or full cost of the legal matter.

XVII. TRADEMARK SUPPORT TERMS, LIMITATIONS & CLIENT RESPONSIBILITY

(a) Trademark Search and Availability Disclaimer

Any trademark search, brand-name check, logo check, class analysis, registry search, public database review or similarity review provided through the Platform is only a preliminary support activity based on information available at the time of search. Such search shall not be treated as a guarantee that the trademark is available, registrable, objection-free or opposition-free.

The User understands that trademark databases may be updated, pending marks may appear later, similar marks may exist in different classes, common-law prior users may exist, and the Registry may raise objections even after a preliminary search appears clear.

(b) No Guarantee of Trademark Registration

Legal Fox India and/or the connected professional does not guarantee trademark registration, objection clearance, hearing success, opposition success, registry acceptance, advertisement in journal, certificate issuance or any time-bound result from the Trade Marks Registry.

Payment made by the User is for platform support, documentation support, trademark coordination, professional coordination, filing support, follow-up and agreed service assistance only. It is not payment for guaranteed trademark registration or guaranteed government approval.

(c) Trademark Filing Scope

Trademark support may include collection of details, document review, trademark class selection support, application preparation, professional coordination, filing assistance and status tracking, only to the extent specifically mentioned in the invoice, quotation, package description, payment confirmation or written service scope.

Any additional service including trademark objection reply, hearing, opposition, counter-statement, evidence drafting, rectification, assignment, renewal, appeal, litigation, legal notice, infringement action, copyright filing, urgent consultation or any other professional/legal work shall require separate confirmation and additional charges unless expressly included in the selected package.

(d) Client’s Trademark Warranties

The User confirms and warrants that the proposed brand name, logo, slogan, label, artistic work, device mark, word mark or business identity submitted for trademark support is original, lawfully used, not copied, not deceptively similar to another brand and does not infringe any third-party intellectual property rights.

The User shall be solely responsible for correctness of ownership details, applicant details, business nature, class selection instructions, prior-use claim, user affidavit, logo/artwork, MSME/start-up status, power of attorney, documents and all information provided for trademark filing.

(e) Prior Use, Documents and Incorrect Information

If the User claims prior use of a trademark, the User must provide genuine and valid supporting documents such as invoices, advertisements, website proof, packaging, social media proof, bills, GST records or other relevant evidence. Legal Fox India shall not be responsible for objection, refusal, cancellation, rectification, opposition, penalty or dispute caused due to false prior-use claims, forged documents, incorrect dates, copied logos or misleading information supplied by the User.

(f) Third-Party Claims and Indemnity

If any third party raises an objection, opposition, infringement claim, passing-off claim, copyright claim, domain-name dispute, business-name dispute or any other intellectual property dispute against the User’s trademark, the User shall be solely responsible for defending such claim and bearing all related professional fees, government fees, legal fees, damages, penalties and costs.

The User agrees to indemnify and hold harmless Legal Fox India, its owners, employees, support team, technology partners, associated professionals, advocates, trademark agents and representatives from any claim, complaint, loss, damage, penalty, cost or expense arising from copied brand/logo, unauthorized use of third-party intellectual property, wrong prior-use claim, false information, non-cooperation or breach of these Terms.

(g) Registry Objection, Hearing, Opposition and Timeline

The User understands that after filing, the Trade Marks Registry may examine the application and may raise formal objections under applicable trademark law. The Registry may also require reply, clarification, hearing, modification, evidence, consent, limitation or any other compliance. Such work is not automatically included unless specifically mentioned in the selected package.

Trademark filing and registration timelines are dependent on Registry workload, examination, objection, hearing, publication, opposition period, third-party action, government portal functioning and applicable legal process. Legal Fox India shall not be responsible for any delay caused by the Registry, government portal, third party, professional availability or client-side delay.

(h) Application Status and Abandonment

The User must respond on time to calls, emails, WhatsApp messages, document requests, draft approvals, objection notices, hearing notices and Registry requirements. If the User fails to respond, provide documents, approve drafts, pay required charges or cooperate within the required time, the application may be delayed, objected, refused or abandoned. Any such consequence shall be solely the User’s responsibility.

(i) Government Fees and Additional Charges

Government fees, professional fees, filing fees, reply fees, hearing fees, opposition fees, renewal fees, assignment fees, rectification fees, appeal fees, taxes, gateway charges and other third-party charges may vary depending on applicant type, class count, service scope, Registry requirement and applicable law. Any additional amount required for further processing shall be payable by the User.

XVIII. STRICT PAY AFTER WORK AND NON-PAYMENT CLAUSE

Where Legal Fox India or the assigned advocate/professional agrees to provide any service under a “Pay After Work” model, the User clearly understands and accepts that this facility is granted only as a matter of trust and convenience and not as a waiver of professional fees.

The User shall be legally bound to make full payment immediately upon completion, preparation, sharing, filing, submission, dispatch, consultation, drafting, legal notice preparation, representation, application filing or completion of the agreed stage of work.

Once the work is completed or shared with the User, the User shall have no right to refuse, delay, dispute, avoid or withhold the agreed professional fee on the ground that the final outcome was not in his/her favour.

If the User receives the benefit of legal/professional work and thereafter refuses to pay, such conduct shall be treated as breach of contract, dishonest avoidance of payment, misuse of professional services and unjust enrichment.

• Legal Fox India and/or the concerned professional may immediately stop all further work without any further notice.
• Further drafts, documents, filing support, updates and coordination may be withheld.
• The client’s service request may be cancelled or suspended.
• The client may be marked as a payment defaulter in internal records.
• Future services may be refused.
• A legal demand notice may be issued for recovery of unpaid professional fees.
• The outstanding amount may be recovered along with interest at 18% per annum.
• Legal notice charges, advocate charges, administrative charges, recovery expenses and litigation costs may also be recovered.
• Civil recovery proceedings, arbitration, mediation, complaint or any other legal remedy available under law may be initiated.
• Damages may be claimed for misuse of time, professional effort, platform resources and service infrastructure.

Legal Fox India shall not be responsible for any loss, limitation, delay, missed deadline, adverse order, non-filing, non-submission or closure of matter caused due to the User’s failure to make timely payment.

XIX. COMMUNICATION, RECORDS, EVIDENCE AND GRIEVANCE POLICY

Legal Fox India may communicate with the User through phone call, email, WhatsApp, SMS, website dashboard, payment gateway notification or any other contact detail provided by the User. Communication sent to the email ID or mobile number provided by the User shall be treated as valid communication.

For service quality, confirmation, record keeping, payment verification, dispute handling and legal defence, Legal Fox India may maintain records of calls, emails, WhatsApp chats, SMS, payment receipts, invoices, uploaded documents, client confirmations, service approvals, application/filing proof, professional assignment details and case-management records.

In case of refund claim, payment dispute, chargeback, cyber complaint, consumer complaint, bank complaint, legal notice or any other dispute, Legal Fox India reserves the right to submit such records before the concerned bank, payment gateway, cyber cell, police authority, consumer forum, court, tribunal, registry or any competent authority.

If the User has any concern regarding service, communication, payment, document handling, advocate connection, trademark support or case-management support, the User must first raise a written grievance with Legal Fox India and provide a reasonable opportunity for review and resolution before initiating any external complaint or proceeding.

XX. CLIENT DECLARATION

• The User understands that Legal Fox India does not promote, advertise, rank or guarantee any advocate/lawyer.
• The User understands that advocates/lawyers/professionals connected through Legal Fox India are independent professionals.
• The User understands that no legal outcome, case result, trademark registration, objection clearance, hearing result or authority order is guaranteed.
• The User confirms that all details and documents provided are true and correct.
• The User agrees that payments are subject to the service scope, payment policy and refund policy.
• The User understands that after service commencement, refund may not be applicable for work already performed, government fee, professional fee, platform fee, taxes, gateway charges or case-management services.
• The User authorizes Legal Fox India and/or the concerned professional to process the service request as per the selected scope of work.

MANDATORY ACKNOWLEDGMENT: By continuing to use the Legal Fox India Platform, you confirm that you have read, fully understood, and irrevocably accepted all Terms, including the Absolute Limitation of Liability and Mandatory Arbitration clauses. You affirm that Legal Fox India is a facilitator and not a legal advisory firm.
